Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and PostJay("we", "us", or "our") governing your access to and use of the PostJaywebsite, applications, APIs, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.

1. Eligibility

You must be at least 16 years old to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and the organization.

2. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for any activity that occurs under your account. Notify us immediately if you suspect unauthorized access. We may require email verification, multi-factor authentication, or additional checks at any time to protect the Service.

3. Acceptable Use

You agree not to use the Service to:

  • Publish, schedule, or distribute content that is illegal, defamatory, harassing, hateful, threatening, deceptive, obscene, or that infringes any third-party right;
  • Send spam, run mass-automation or scraping campaigns, or otherwise abuse connected social platforms in violation of their terms of service;
  • Impersonate another person or misrepresent your affiliation with a person or entity;
  • Attempt to gain unauthorized access to other accounts, our infrastructure, or any connected platform;
  • Reverse-engineer, decompile, or extract source code from the Service except as expressly permitted by law;
  • Use the Service to develop a competing product;
  • Circumvent rate limits, plan limits, or other technical controls;
  • Upload malware, viruses, or any code intended to disrupt the Service.

4. Connected Social Platforms

The Service publishes content on third-party platforms (Twitter/X, Instagram, Facebook, LinkedIn, TikTok, YouTube, Pinterest, Threads, Bluesky). You are responsible for complying with the terms of service of each platform you connect. We are not affiliated with these platforms, and we are not liable if a platform changes its API, suspends your account, rejects content, or alters reach or analytics.

5. Your Content

You retain all ownership rights in the content you create, upload, or schedule through the Service ("Your Content"). You grant us a limited, worldwide, royalty-free license to host, copy, transmit, and display Your Content solely for the purpose of operating and improving the Service — including transmitting Your Content to the connected platforms you have authorized. This license ends when you delete Your Content or close your account, except as needed for backups and legal compliance.

You represent and warrant that you have all rights necessary to upload Your Content and that it does not infringe any third-party intellectual-property or privacy rights.

6. Subscriptions, Trials & Payments

Paid plans are billed in advance on a monthly or annual basis through Stripe or Lemon Squeezy. Trials, where offered, automatically convert to paid subscriptions unless cancelled before the trial ends. You authorize us (and our payment processor) to charge your payment method for all fees incurred.

You may cancel at any time from the Billing page; your subscription will remain active until the end of the current billing period. Except as required by law, fees already paid are non-refundable.

We may change pricing or introduce new fees with at least 30 days' notice. If you do not agree to the change, your sole remedy is to cancel before it takes effect.

7. Plan Limits & Fair Use

Each plan includes specific limits on connected social accounts, monthly posts, file size, and team seats. Exceeding these limits may result in throttling, queued posts being skipped, or an automatic upgrade prompt. We may, in our sole discretion, impose fair-use limits on storage, API calls, or AI generations to protect Service performance.

8. Suspension & Termination

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, created a security or legal risk for us or other users, or failed to pay amounts owed. We will normally try to give you notice and a chance to cure, but we are not required to do so in the case of severe or repeated violations.

You may terminate your account at any time from the Settings page. Upon termination, your access ends, scheduled posts cease to publish, and your data is deleted according to the Privacy Policy.

9. Service Availability

We work hard to keep the Service available 24/7 but do not guarantee uninterrupted operation. Scheduled maintenance, third-party platform outages, network issues, and force-majeure events may temporarily affect availability. We are not liable for posts that fail to publish due to upstream platform outages.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT POSTS WILL ALWAYS PUBLISH AT THE EXACT TIME SCHEDULED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL POSTJAY, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD 100.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In those jurisdictions, the exclusions and limitations apply to the greatest extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless PostJay and its officers, directors, employees, and affiliates from any claim, loss, liability, or expense (including reasonable legal fees) arising out of (a) Your Content, (b) your use of the Service, or (c) your violation of these Terms or any applicable law.

13. Changes to the Service or Terms

We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms; if changes are material, we will give at least 14 days' notice. Continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

14. Governing Law & Disputes

These Terms are governed by the laws of England and Wales, without regard to conflict of laws principles. Any dispute arising under or relating to these Terms will be brought exclusively in the courts of London, United Kingdom, except where prohibited by mandatory consumer law in your country of residence.

15. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any plan-specific documents, constitute the entire agreement between you and us.
